About Endesa

1944. Endesa is founded on 18 November.

1945. Construction begins on the Compostilla thermal plant in Ponferrada, in the province of Leon in Spain. The first production unit of the plant, which was to be upgraded in later years, is commissioned in 1957.

1972. Merger with Hidrogalicia Throughout the 1970s and 1980s, Endesa was to acquire a wide range of mining facilities all over Spain (As Pontes in La Coruña; Andorra, in Teruel) and shored up its generation capacity with the startup of thermal plants in As Pontes in La Coruña; Andorra and Escatrón, in Teruel and Zaragoza; and Litoral, in Almería. In addition, diesel plants came on stream in Ceuta and Melilla and group II of the nuclear plant at Ascó, Tarragona.

1983. The Endesa Group is created following the acquisition of the Spanish National Institute of Industry’s (INI) holdings in Enher, Gesa, Unelco and Encasur. In the same year, ERZ becomes part of the Endesa Group.

1988. First Public Tender Offer for Endesa shares The Spanish state reduces its share in the company to 75.6%. Endesa’s shares are traded for the first time on the New York Stock Exchange.

1991. Acquisition of 87.6% of Electra de Viesgo, 40% of Fecsa, 33.5% of Sevillana de Electricidad and 24.9% of Nansa.

1992. Acquisition of 61.9% of Carboex and of a capital stake in Electricidad de Argentina and Yacylec.

1993. Acquisition of 55% of Hidroeléctrica de Cataluña (Hecsa) and purchase of stock in the Portuguese company Tejo Energia.

1994. Second Public Offering of Endesa shares which sees the state’s ownership reduced to 66.89%. Founding of Compañía Peruana de Electricidad and Distrilima, with the participation of Endesa, and acquisition of 11.78% of Sociedad General de Aguas de Barcelona (Agbar).

1995. Agreement between Endesa and Banco Central Hispano, and acquisition of 9.7% of Argentine electricity distributor Edenor, and 7.2% of the second largest mobile phone operator in Spain, Airtel.

1996. Stake in Fecsa and Sevillana de Electricidad increased to 75%.

1997. Contract for second largest fixed phone operator in Spain, Retevision, awarded to the consortium headed by Endesa. Third public offering for 25% of Endesa’s shares and the company takes a stake in the Latin American Group, Enersis.

1998. Public offering for 33% of Endesa’s shares, making it a private company.

2000. Endesa’s shares are traded for the first time on the Santiago de Chile Off-Shore Stock Exchange.

2001. Endesa presents its new business strategy to the markets, a strategy focused on creating value after the breakdown of the merger with Iberdrola.

2002. Endesa creates the figure of the Customer Ombudsman.

2002. With the highest score of all the sector companies, Endesa is selected to join the Dow Jones Sustainability World Index (DJSI World), the index that includes 300 leading companies in 23 countries that stand out for their application of sustainable development criteria, and renews its membership of the European Dow Jones Stoxx Sustainability Index (DJSI Stoxx).

2003. Endesa’s Board of Directors approves the Internal Code of Conduct in Securities Markets.

2005. Gas Natural launches a hostile takeover bid for 100% of Endesa’s capital.

2006. 21 February. E.On of Germany launches a takeover bid for 100% of Endesa.

2006. 26 September. Acciona acquires 10% of Endesa.

2006. 16 November. The Comisión Nacional del Mercado de Valores (CNMV) authorises E.On’s takeover bid for 100% of Endesa.

2007. 10 January. Acciona notifies the CNMV that its total stake in Endesa is 23.03%.

2007. 26 January. The acceptance period for E.On’s takeover bid for 100% of Endesa commences.

2007. 1 February. Gas Natural withdraws its takeover bid for 100% of Endesa.

2007. 27 February. Enel acquires a 9.993% stake in Endesa.

2007. 12 March. Enel confirms that the total number of Endesa shares it holds via equity swaps is 14.98%, taking its direct and indirect stake in the Company to 24.973%.

2007. 10 April. E.ON withdraws its takeover bid as it only obtained approval from 6.01% of the shareholders and did not renounce the condition that its offer be accepted by at least 50.01% of Endesa’s capital.

2007. 18 April. Endesa completes the environmental management certification in accordance with ISO 14001 for all its hydroelectric plants in Spain.

2007. 5 October. The Spanish Securities Market Commission (CNMV) announces the outcome of the takeover bid launched by Acciona, S.A. and Enel Energy Europe for Endesa.

2007. 18 October. Endesa’s Board of Directors adopts the necessary agreements for its restructuring following Acciona and Enel’s successful takeover bid.

2008. 27 March. Enel and Acciona reach a deal with E.On on the value of the assets to be transferred to the latter following the agreement signed by the three companies in April 2007. The total value agreed is Euro 11,500 million.

21 February. Enel reaches an agreement with Acciona for the purchase of its entire stake in Endesa making its the company’s main shareholder with 92.06% of its capital. According to the terms of the agreement, Endesa undertakes to sell certain wind Farm and hydro generation assets to Acciona.

24 March. Endesa’s Board of Directors elects Borja Prado Eulate as Chairman of the Company and appoints Jorge Vega-Penichet López as a new director. It is also Decided that the powers delegated to the Board of Directors will be exercised Jointly by the Vice-Chairman, Andrea Brentan, and the CEO, Rafael Miranda.

28 May. Endesa presents its 2008-2012 Sustainability Plan, whose main cornerstones are The fight against climate change and forging links with local communities in the countries and territories where Endesa operates.

30 June. The board of directors approves the appointments of fulvio conti as vice-Chairman of the board and Andrea Brentan as CEO.

9 July. Endesa and the Andalusia autonomous government present smartcity, a pioneering project promoting a new urban energy management model.

23 July. The first unit of the Quintero power plant in chile comes on stream (129 MW).

4 September. The second unit of the Quintero power plant in Chile comes on stream (128 MW).

14 September. Endesa’s board of directors appoints Gianluca Comin company director.

2 October. Endesa Latinoamérica and its subsidiary companies sell the shares they hold in Empresa Energía de Bogotá on the Bogota stock exchange, representing 7.18% of the company’s capital.

15 October. Enersis and Endesa Chile acquire, via Generalima, 24% of Edelnor and 29.4% of Edegel, respectively, on the Lima Stock Exchange.

10 December. Canela II, Chile’s largest wind farm with 60 MW, comes on stream.

18 December. Endesa and a group of private partners set up the project management office for the Movele Project, a nationwide scheme to promote electric vehicle use.

 

14 January. Start up of Cenit Verde, the Spanish consortium dedicated to developing the electric vehicle, of which Endesa forms part.

21 January. Endesa, the only Spanish company to participate in Europe’s G4V project on the largescale impact of the electric vehicle.

17 March. The respective Boards of Directors at Endesa and Enel spa approve the integration of the Spanish and Portuguese renewable energy activities of Endesa and Enel Green Power spa (EGP) into a single entity within the sphere of consolidation of EGP, a fullyowned company of Enel spa.

7 April. Endesa and Enel team up with Japanese association chademo to expand the installation of electric vehicle express-recharging points across the globe.

8 April. Endesa and Bergé Automoción sign an agreement to develop electric vehicles in Spain.

9 April. Endesa, Enel and the Renault-Nissan alliance sign a Memorandum of Understanding to develop electric mobility in various countries simultaneously.

14 June. Endesa installs Spain’s first domestic smart meter in Malaga.

1 July. The sale of the power transmission assets owned by Endesa to Red Eléctrica de España for Euro 1,412 million is completed.

2 July. Endesa sells its 50.01% holding in Endesa Hellas to Mytilineos for Euro 140 million.

27 August. Endesa starts construction of a plant to capture CO2 using limestone in Asturias.

9 September. Endesa confirms its position as a world leader in sustainable development by appearing for the tenth year running in the Dow Jones Sustainability World Index.

23 September. Endesa announces that it is to invest USD 837 million in the construction of a 400 MW hydroelectric power station at El Quimbo in Colombia.

24 September. Endesa agrees on the sale of 80% of its stake in the subsidiary in which its gas distribution and transmission assets are incorporated, reserving the right to repurchase the stake sold.

25 November. Endesa wins tender for project to extend the Malacas thermal power station in Piura with an additional 200 MW capacity.

 

12 January. Endesa completes natural gas conversion work at its Cas Tesorer and Son Reus combined cycle plants in Mallorca and Ibiza power station.

19 January. Enel Green Power, in which Endesa has a 40% holding, brings three wind farms with total capacity of 96 MW into operation in Spain.

25 January. Enel Green Power inaugurates a 10 MW wind farm in Portugal.

4 February. Málaga Smartcity Project receives two prizes in the European Smart Metering Awards.

7 February. Endesa acquires an additional 36.5% of Empresa Eléctrica de Piura (EEPSA) putting its total stake in the Peruvian generation company at 96.5%.

20 February. Endesa opens its first personal-services offices in Portugal providing sales and customer services.

25 February. Endesa lays the first stone of El Quimbo hydroelectric plant (Colombia).

28 February. Endesa is the first Spanish power company to be awarded service charter certification for its customer acquisition process by the Spanish Association for Standardisation and Certification (AENOR).

7 March. Collaboration agreement signed to launch the first international masters degree in Spain specialised in nuclear engineering.

8 March. Endesa, Cepsa, Philips Ibérica, Renfe, Sol Meliá, Telefónica, Toyota España and Unibail Rodamco España create the Platform for Energy Efficiency.

14 April. Endesa and Cepsa open the first fast charge point for electric vehicles in a service station in Spain.

9 May. Endesa has more than 25 million customers across the world.

10 June. Endesa and Enel carry out joint pilot project in Brazil for the smart meter remote management solution rolled out in Spain.

11 July. Endesa promotes Voluntare, the first international corporate volunteer network.

21 July. Endesa and ACB reach an agreement through which the Spanish professional basketball league will adopt the Company’s name.

5 August. Endesa acquires stakes held by EDP in two of its Brazilian subsidiaries.

31 August. Endesa to provide charging points for electric vehicles at airports.

1 September. Ventanilla plant in Peru is recognised as a CDM (clean development mechanism) project by the UN.

7 September. Endesa becomes the first company in Spain to be awarded three certificates for Energy Efficiency, Environmental Managements and Indoor Air Quality for its corporate headquarters.

5 October. Presentation of the 2011-2012 Endesa basketball league at the Company’s head quarters.

3 November. Upgrading the Barcelona power supply system to develop a smart grid offering greater savings and more efficient and sustainable management.

10 November. Second combined cycle opened at the Granadilla plant in the south of Tenerife

31 December. 19,494 students took part in Endesa Educa’s activities in 2010/2011.
